Terms of Service

By creating an account or using Niqo ("Service", "we", "us") you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement.

Niqo is an AI-powered conversation assistant available as a desktop application for macOS and Windows. It listens to audio captured by your microphone, produces live transcripts of speech, and generates AI suggestions and responses to help you during conversations, meetings, calls, and other interactions.

Additional features include session summaries, searchable transcription history, and integrations with local files and repositories. Features may vary by platform and plan.

The Service is provided as a tool to assist you. It is not a substitute for professional advice in legal, medical, financial, or any other regulated domain. AI-generated output may contain errors and must not be relied upon as fact.

You may sign in using an email one-time code or a supported third-party provider (Google, Apple). You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

You agree to provide accurate information and to keep it up to date. Notify us immediately at hello@askniqo.com if you suspect unauthorized access to your account.

We reserve the right to refuse registration or terminate accounts at our discretion, including where we reasonably believe the account is being used in violation of these Terms.

This is the most important section of these Terms. The Service processes audio recorded through your device microphone. Recording conversations that include other people is regulated by law in many jurisdictions.

You are solely responsible for obtaining all necessary consents, permissions, and authorizations required by applicable law before recording any conversation involving another person. Depending on your jurisdiction, this may require the explicit prior consent of all participants.

You must not use the Service to record any person without their knowledge or in violation of any applicable wiretapping, eavesdropping, privacy, or data protection law. You must not use the Service in any context where recording is prohibited (e.g., certain legal proceedings, medical consultations, or other settings where confidentiality is legally required without your authorization).

We process audio solely to deliver the transcription and AI features you request. We are not responsible for how you choose to use those features or for any failure on your part to obtain required consents.

Responses, suggestions, summaries, and other outputs generated by the Service ("AI Output") are produced by automated AI models and may be inaccurate, incomplete, or misleading. AI Output does not represent our views or constitute professional advice.

You are responsible for independently verifying any AI Output before acting on it. We make no representations or warranties regarding the accuracy, reliability, or fitness of AI Output for any particular purpose.

AI models may produce outputs that are offensive, harmful, or factually incorrect. If you encounter such output, please report it to us.

The Service is offered under free and paid plans. Paid plans grant you a monthly allowance of usage minutes ("Minutes"). Minutes reflect the amount of active AI processing time available to your account.

Minutes are consumed when you conduct an active session. Unused Minutes at the end of a billing period do not carry over unless your plan states otherwise. Top-up packs of additional Minutes may be purchased separately and do not expire as long as your account is active.

All prices are displayed before purchase. You authorize us to charge the payment method you provide. Payments are processed by our third-party payment processors and are subject to their terms.

We reserve the right to change pricing at any time. Price changes affecting existing subscribers will be communicated at least 30 days in advance and will apply from the next renewal date.

Paid subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. By subscribing you authorize us (or our payment processors) to charge the applicable fee each period without further notice.

You may cancel your subscription at any time from your Account page at askniqo.com/account.

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

Subscriptions and top-up purchases are generally non-refundable except where required by applicable law or as set out below.

You may request a refund within 14 days of purchase if the Service was not usable due to a technical fault on our part. To request a refund email hello@askniqo.com with your transaction ID. We will review each request on a case-by-case basis.

If you are a consumer based in the European Union you have a statutory right of withdrawal within 14 days of purchase. You expressly acknowledge that by requesting immediate access to the Service you consent to waive this right once the Service has been fully performed or you have begun using it.

You agree not to use the Service to:

• Record or process audio without the required legal consents.
• Harass, threaten, defame, or harm any person.
• Generate or disseminate disinformation, spam, or deceptive content.
• Impersonate another person or entity.
• Scrape, reverse-engineer, decompile, or circumvent the Service.
• Probe, scan, or test the security of the Service.
• Resell or sublicense access to the Service.
• Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights.

We may suspend or terminate your account immediately if we believe you have violated this section.

"Your Content" means audio you capture, transcripts produced from that audio, and any other data you submit to the Service.

You retain ownership of Your Content. By using the Service you grant us a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content solely to the extent necessary to provide the Service to you.

You represent and warrant that you have all rights necessary to grant this license and that Your Content does not violate any law or third-party rights.

We do not use Your Content to train AI models without your explicit consent.

The Service relies on third-party providers for speech recognition, AI language processing, database storage, authentication, and payment processing. Your use of the Service means your data passes through these providers subject to their own terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of any third-party service. Links to third-party websites or services are provided for convenience and do not constitute endorsement.

The Service, including its software, design, trademarks, and branding, is the exclusive property of its operator. Nothing in these Terms grants you any right to use our trademarks or branding without our prior written consent.

AI Output generated through your use of the Service may not be protected by copyright under applicable law. You are responsible for determining the intellectual property status of any AI Output before using it commercially or publicly.

Our Privacy Policy describes how we collect, use, and protect your personal data and forms part of these Terms. By using the Service you consent to the data practices described there.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI Output is not warranted to be accurate, complete, or suitable for any purpose. You rely on AI Output entirely at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) EUR 50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another person, including the failure to obtain consent to record.

You may stop using the Service and delete your account at any time from the account settings. Deletion is permanent and irreversible.

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms or if we decide to discontinue the Service. Upon termination, your right to use the Service ceases immediately.

Sections 4, 5, 10, 14, 15, 16, and 19 survive termination.

We may update these Terms at any time. We will notify you of material changes by updating the effective date at the top of this page and, where feasible, by email or in-app notice at least 14 days before the change takes effect.

Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree with a change, you must stop using the Service before the effective date.

These Terms are governed by the laws of Poland, without regard to conflict of law principles. The courts of Poland have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service.

If you are a consumer resident in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence that cannot be derogated from by agreement.

EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
